1. Acceptance of Terms

By accessing, browsing, or using the Soko Predict platform ("Platform"), including any associated websites, mobile applications, APIs, or services, you ("User", "you") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms in their entirety, you must immediately discontinue use of the Platform. Your continued use of the Platform after any modifications to these Terms constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 18 years of age to use this Platform. By creating an account, you represent and warrant that you are at least 18 years old and possess the legal capacity to enter into binding agreements under the laws of your jurisdiction. You further represent that your use of the Platform does not violate any applicable law or regulation in your jurisdiction of residence. Soko Predict reserves the right to verify your age and identity at any time and may suspend or terminate your account if such verification fails or is refused.

3. Nature of the Platform

Soko Predict operates a prediction markets platform where users can express opinions on real-world outcomes by purchasing virtual shares ("YES" or "NO" shares) using Kenyan Shillings (KES) via M-Pesa or other approved payment methods. The Platform is an entertainment and information service. Shares purchased on the Platform are not securities, financial instruments, derivatives, gambling products, or investment contracts. They represent participation in an opinion-based event outcome marketplace. Soko Predict does not provide investment advice, financial advice, tax advice, or legal advice of any kind. No fiduciary relationship exists between Soko Predict and any User.

4. Account Registration and Security

To access certain features of the Platform, you must register for an account by providing accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to notify Soko Predict immediately of any unauthorized use of your account or any other breach of security. Soko Predict shall not be liable for any loss or damage arising from your failure to comply with this obligation. You may not create multiple accounts, share your account credentials with any third party, or use another User's account without permission.

5. User Conduct and Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Using the Platform for any unlawful purpose or in violation of any applicable local, national, or international law or regulation
  • Attempting to manipulate markets, prices, or outcomes through collusion, wash trading, or any other deceptive practice
  • Using bots, scripts, automated systems, or any other means to interact with the Platform without prior written authorization
  • Attempting to gain unauthorized access to the Platform, other user accounts, or any computer systems or networks connected to the Platform
  • Engaging in any activity that interferes with or disrupts the Platform or the servers and networks connected to the Platform
  • Creating false, misleading, or fraudulent accounts or providing inaccurate information
  • Using the Platform if you are a politically exposed person (PEP) or government official involved in markets related to your area of influence
  • Exploiting insider information or non-public material information to gain an unfair advantage
  • Circumventing or attempting to circumvent any security features, access controls, or usage limits

6. Market Rules and Resolution

Each market on the Platform has defined resolution criteria. Soko Predict will resolve markets based on publicly available information and the stated resolution criteria. Soko Predict reserves sole and absolute discretion to: (a) void or cancel any market at any time for any reason, including but not limited to ambiguity in resolution criteria, inability to determine an outcome, or suspected market manipulation; (b) reverse, adjust, or cancel trades that were executed in error, result from platform malfunction, or are associated with prohibited activities; (c) extend, shorten, or modify market closing times; (d) determine the final resolution outcome. In the event of a voided market, all shares will be refunded at their original purchase price. Soko Predict's determination of market outcomes shall be final and binding.

7. Payments, Fees, and Withdrawals

All transactions on the Platform are denominated in Kenyan Shillings (KES). Payments may be processed through M-Pesa or other payment methods as made available by Soko Predict from time to time. Soko Predict may charge transaction fees, withdrawal fees, or other fees as disclosed on the Platform. Fee schedules may be modified at any time with reasonable notice. Withdrawal requests are subject to identity verification, anti-money laundering (AML) checks, and compliance review. Soko Predict reserves the right to delay or refuse any withdrawal if there is a reasonable suspicion of fraud, money laundering, or violation of these Terms. All deposits are non-refundable except as otherwise required by applicable law or as expressly provided in these Terms.

8. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof, is the property of Soko Predict or its content suppliers and is protected by Kenyan and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content from the Platform without the prior written consent of Soko Predict, except as permitted by these Terms for your personal, non-commercial use.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOKO PREDICT, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF SOKO PREDICT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL SOKO PREDICT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE AMOUNT OF FEES PAID BY YOU TO SOKO PREDICT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR KES 10,000, WHICHEVER IS LESS.

10. Indemnification

You agree to indemnify, defend, and hold harmless Soko Predict, its directors, officers, employees, agents, affiliates, successors, and assigns from and against all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content you submit, post, or otherwise make available through the Platform.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. SOKO PREDICT EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SOKO PREDICT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SOKO PREDICT DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT, INFORMATION, OR MATERIALS PROVIDED ON THE PLATFORM.

12. Termination

Soko Predict may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice, at its sole discretion. Upon termination: (a) your right to use the Platform will immediately cease; (b) any pending trades may be cancelled; (c) any outstanding balances, less any applicable fees or penalties, will be returned to you subject to completion of identity verification and compliance review; (d) Soko Predict may retain your data as required by law or for legitimate business purposes. You may terminate your account at any time by contacting support.

13. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be subject to good-faith negotiation between the parties for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in Nairobi, Kenya, in accordance with the Arbitration Act of Kenya. The arbitration shall be conducted by a single arbitrator. The language of the arbitration shall be English. The arbitral award shall be final and binding. You agree that any arbitration shall be conducted on an individual basis and not as a class action, consolidated action, or representative action.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions. You irrevocably submit to the exclusive jurisdiction of the courts located in Nairobi, Kenya, for the resolution of any dispute not subject to arbitration.

15. Force Majeure

Soko Predict shall not be liable for any failure or delay in performance of its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, civil unrest, government actions, epidemics, pandemics, internet or telecommunications failures, power outages, fire, flood, or any other force majeure event.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions.

17. Modifications

Soko Predict reserves the right to modify, amend, or update these Terms at any time at its sole discretion. Material changes will be communicated through the Platform or via email to the address associated with your account. Your continued use of the Platform following the posting of modified Terms constitutes your acceptance of the changes. It is your responsibility to review these Terms periodically for updates.

18. Entire Agreement

These Terms, together with the Privacy Policy, Risk Disclaimer, and Cookie Policy, constitute the entire agreement between you and Soko Predict regarding your use of the Platform and supersede all prior or contemporaneous communications, representations, understandings, and agreements, whether oral or written, between you and Soko Predict.
